Version 1.0 · Effective July 3, 2026

THE PROJECT PORTAL TERMS & CONDITIONS OF USE Effective Date: July 3, 2026 Version: 1.0 PLEASE READ THESE TERMS AND CONDITIONS ("Terms") CAREFULLY. By creating an account, clicking "I agree," or accessing or using the Contractor Matrix Pro platform, website, applications, and related services (collectively, the "Service"), you ("you," "your," "User," or "Customer") agree to be legally bound by these Terms. If you do not agree, do not create an account or use the Service. 1. DEFINITIONS "Contractor Matrix Pro" refers to the Contractor Matrix Pro software product and service. "Provider," "we," "us," or "our" refers collectively to Contractor Matrix Pro, its owner and principal operator individually and personally (the "Principal Owner"), and Davis Enterprises International, its parent company, together with each of their respective affiliates, subsidiaries, officers, directors, members, managers, employees, contractors, agents, licensors, successors, and assigns (collectively, the "Provider Parties"). 2. ACCEPTANCE AND ELIGIBILITY You represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself and any business entity you represent. If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. 3. THE SERVICE; NO PROFESSIONAL ADVICE The Service is a business-management tool that helps you manage clients, estimates, invoices, scheduling, payments, and related workflows. The Service, including any AI-generated content, document parsing, takeoffs, estimates, or suggestions, is provided for convenience only and does NOT constitute legal, financial, tax, accounting, engineering, construction, safety, or other professional advice. You are solely responsible for verifying the accuracy, legality, and suitability of any output before relying on it. You are solely responsible for your own contracts, estimates, invoices, licensing, permits, workmanship, and dealings with your own customers and employees. 4. YOUR RESPONSIBILITIES You are solely responsible for: (a) all activity under your account and the security of your credentials; (b) the accuracy of all data you enter; (c) compliance with all laws applicable to your business, including tax, employment, licensing, consumer-protection, telemarketing/SMS (including TCPA and carrier requirements), and data-privacy laws; (d) obtaining all necessary consents from your own clients and employees before sending them communications (including SMS/email) or storing their data; and (e) your own use of any third-party integrations you connect (including Stripe, Twilio, and Autodesk). 5. THIRD-PARTY SERVICES The Service may integrate with third-party providers (e.g., payment processing, messaging, email, and file services). Your use of those services is governed by their own terms, and the Provider Parties are not responsible or liable for the acts, omissions, availability, fees, or performance of any third party. Payment card processing is handled by third-party processors; the Provider Parties do not store full card data and are not a bank, money transmitter, or party to your transactions with your customers. 6. DISCLAIMER OF WARRANTIES THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROVIDER PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE PROVIDER PARTIES DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DATA WILL NOT BE LOST. 7. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANY OF THE PROVIDER PARTIES (INCLUDING THE PRINCIPAL OWNER PERSONALLY AND DAVIS ENTERPRISES INTERNATIONAL) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF THE PROVIDER PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). YOU ACKNOWLEDGE THAT THE PRINCIPAL OWNER SHALL HAVE NO PERSONAL LIABILITY WHATSOEVER UNDER THESE TERMS OR IN CONNECTION WITH THE SERVICE. 8. INDEMNIFICATION AND HOLD HARMLESS You agree to defend, indemnify, and hold harmless the Provider Parties, including Contractor Matrix Pro, the Principal Owner personally, and Davis Enterprises International, from and against any and all claims, demands, suits, actions, proceedings, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your data, content, estimates, invoices, or communications; (c) your products, services, workmanship, or dealings with your customers, employees, or contractors; (d) your violation of these Terms or of any law or third-party right; and (e) any dispute between you and any third party. This obligation survives termination of these Terms. Davis Enterprises International and the Principal Owner are intended third-party beneficiaries of this Section and of these Terms. 9. ASSUMPTION OF RISK You knowingly and voluntarily assume all risks associated with your use of the Service and your business operations. You agree that the Provider Parties are not responsible for any decisions you make or actions you take based on the Service. 10. TERMINATION We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including Sections 6–8 and 11) will survive termination. 11. GOVERNING LAW; DISPUTE RESOLUTION These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue there. You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. 12. CHANGES TO THESE TERMS We may modify these Terms at any time by posting an updated version. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. 13. MISCELLANEOUS If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. These Terms constitute the entire agreement between you and the Provider Parties regarding the Service and supersede all prior agreements. BY CLICKING "I AGREE" OR CREATING AN ACCOUNT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE DISCLAIMER OF WARRANTIES, LIMITATION OF LIABILITY, AND INDEMNIFICATION/HOLD-HARMLESS PROVISIONS THAT PROTECT THE PROJECT PORTAL, ITS PRINCIPAL OWNER PERSONALLY, AND DAVIS ENTERPRISES INTERNATIONAL.
